NP Igniter is owned and operated by Commercial Webmaster (Ellis Tech, LLC) All services rendered are by and through Commercial Webmaster.
1. Services
Commercial Webmaster can provide the following services:
– Logo Design – The Logo Design will include up to 5 concepts and up to 5 revisions on chosen concept. Any additional revisions or concepts could incur an hourly charge at $85 per hour (billed in 15 minute increments). Logo will be delivered in multiple formats for multiple uses including vector formats. (.ai, .eps, .png, jpg)
– Website Design & Development – The Website Design will be a fluid process with the Home page design coming first and other pages and/or sections following the look and feel of the initial home page. Up to 3 concepts with 5 revisions will be allowed for the home page and up to 5 revisions for each internal page.
– Website Hosting & Maintenance – Once launched the website will be hosted and maintained by Commercial Webmaster. The client will have access to make content changes, submit blog posts and more. Maintenance features vary by package but will include: hosting, maintenance, patching, licensing, emails(if applicable), backups, and up to 30 minutes of normal website support per month.
– SEO – Search engine optimization will include monthly audits, reports, analytics, and based on package could include Google My Business posting. This is ongoing work and will be perpetually completed through the life of the period being paid for.
– (PPC) Pay Per Click – Pay Per Click services will vary with package but will include monthly reports and analytics as well as conversion tracking to help visualize ROI when possible.
This is the scope of work the parties agree upon. For changes or additional requirements, a change order will have to be filled, agreed upon, and signed by both parties.
2. Cost and Payment
– Logo Design – The custom logo package has a total cost of $350 due at the start of the project.
– Website Design & Development
Custom Website Basic – Commercial Webmaster will charge $2,195 for the services as a fixed price. The payment will be divided into 2 payments, with a first deposit of $1,097.50 being paid before work commences. The final payment of $1,097.50 will be due one month after the first installment.
Custom Website Basic – Commercial Webmaster will charge $2,995 for the services as a fixed price. The payment will be divided into 2 payments, with a first deposit of $1,497.50 being paid before work commences. The final payment of $1,497.50 will be due one month after the first installment.
– Website Hosting & Maintenance – Hosting & Maintenance will recur monthly on the date of launch in perpetuity. The cost is determined by the package and can vary depending on features added at any later date. At the start of this project the monthly cost is $75 per month* or $100 per month (depending on package) with an initial 12 month minimum commitment.
– SEO– Packages will vary with setup costs and monthly or set period pricing based on what is signed up for. By clicking agreeing to Terms and purchasing the package user agrees that they have full knowledge of the transaction being processed and the services being rendered.
– (PPC) Pay Per Click– Packages will vary with setup costs and monthly or set period pricing based on what is signed up for. By clicking agreeing to Terms and purchasing the package user agrees that they have full knowledge of the transaction being processed and the services being rendered.
* Periodic adjustments to pricing in monthly base packages after the initial 12 months based on expenses and the inflation rate are possible.
3. Schedule
The Client will have the 5 days to review and approve any step in the process. At the end of said time, if no answer has been given, the work will be considered approved, and Commercial Webmaster will continue their work.
4. Confidentiality
During the term of this agreement and afterward, Commercial Webmaster will use reasonable care to prevent the unauthorized use or dissemination of Client’s confidential information. Confidential information is limited to information clearly marked as confidential.
Confidential information does not include information that: Commercial Webmaster knew before Client disclosed it; is or becomes public knowledge through no fault of Commercial Webmaster; Commercial Webmaster obtains from sources other than Client who owe no duty of confidentiality to Client, or Developer develops independently.
5. Termination of Agreement
This Agreement will automatically terminate when both Parties have performed all their obligation under the Agreement and all payments have been made. Early termination will be considered with a 30 day notice at the sole discretion of Commercial Webmaster. Refunds will not be given for any services provided since they are digitally delivered and work is spaced out through the paid period. There will be no pro-rated refunds of any kind.
Monthly hosting and maintenance will have the option of termination no sooner than 12 months after the launch of the project at which time it will be month to month with a 30 day notice of cancellation.
6. Limitation of Liability
Neither party will be liable for breach-of-contract damages that are remote or speculative, or that the breaching party could not reasonably have foreseen on entry into this agreement.
Commercial Webmaster will not be held liable for any loss or perceived losses for any reason from any work done with the client and/or the website being delivered, hosted, or maintained.
7. Intellectual Property
The Client guarantees that they have legal rights to all elements of text, photographs, and anything else that they provide the Web Designer with, and will not hold the Web Designer responsible for any third-party claims.
Commercial Webmaster will guarantee that they have legal rights to all elements related to the services they are providing and will not hold the client responsible for any third-party claims. If client wants to host their own site it is their responsibility to continue to pay for any licensing of tools or plugins used to build the site.
8. Dispute Resolution
If either party accuses the other of being in breach of contract, the accused party will have 30 days to address the breach. Due to the nature of the work being provided there will be no refunds in part or in whole for any work provided or services rendered.
9. Applicable Law
This Agreement shall be governed by and construed in accordance with the laws of Tennessee.
